Terms of Service
The agreement between you and Folio that governs your use of our platform.
1. Acceptance of terms
By accessing or using Folio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service.
2. Description of service
Folio is a client portal platform designed for accounting professionals. The Service enables you to collect documents from your clients via magic link portals, send automated reminders, manage document requests, process e-signatures, send invoice and payment requests, and collaborate with team members.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.
3. Account terms
You must provide a valid email address and accurate information to create an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at security@getfolio.pages.dev if you suspect unauthorised access.
You must be at least 18 years old to use Folio. One person or legal entity may not maintain more than one free account.
You are responsible for all activity that occurs under your account, including actions taken by team members you invite to your workspace.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or to violate any applicable law or regulation.
- Upload, transmit, or store any content that infringes intellectual property rights of third parties.
- Attempt to gain unauthorised access to the Service, other accounts, or connected systems.
- Use the Service to send unsolicited messages (spam) to your clients or any third party.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or redistribute the Service without our written consent.
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
5. Intellectual property
The Service, including its design, code, documentation, and branding, is owned by Folio and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without written permission.
We do not claim ownership of any content you upload, create, or store through the Service. You retain all rights to your data.
6. Payment terms
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law. We may change pricing with at least 30 days notice; continued use after the change constitutes acceptance.
Subscription billing is processed through our payment partner, Polar. We do not store your payment card details directly.
If you use Folio's invoicing feature, you connect your own Stripe account. Folio takes zero platform fee on client payments — Stripe's standard processing fees apply directly to your Stripe account.
7. Data ownership and portability
You own your data. Folio processes your data and your clients' data as a data processor under your instruction. See our Privacy Policy and Data Processing Agreement for full details.
You may export your data at any time through the Service's built-in export tools. Upon account termination, we retain your data for 30 days to allow recovery, after which it is permanently deleted.
8. Termination
You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.
We may terminate or suspend your access immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive (including intellectual property, limitation of liability, and indemnification).
9. Disclaimers
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that results obtained from use of the Service will be accurate or reliable.
10. Limitation of liability
To the maximum extent permitted by law, Folio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use of or inability to use the Service.
- Any unauthorised access to or alteration of your data.
- Any third-party conduct on the Service.
- Any other matter relating to the Service.
Our total aggregate liability for all claims relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Folio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13. Changes to these terms
We may revise these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after revised Terms become effective constitutes your acceptance of the revised Terms.

Common questions
Do I need to sign a separate contract to use Folio?
No. By creating an account and using the service you agree to these Terms of Service. No separate contract is required for Starter or Pro plans.
Who owns the data I upload to Folio?
You do. Folio acts as a data processor on your behalf. All documents, client information, and workspace data remain your intellectual property. We never claim ownership of your content.
Can I cancel my Folio subscription at any time?
Yes. You can cancel at any time from your account settings. Your subscription remains active until the end of the current billing period. After cancellation, your data is retained for 30 days before deletion.
What happens to my data if Folio shuts down?
In the unlikely event of service discontinuation, we will provide at least 90 days notice and a full data export in standard formats (CSV, PDF, ZIP) at no extra charge.
